Overview

Provides paralegal support related for the real estate and transactional activities of the company. Maintain database of commercial real estate transactional documents, manage documentation for secured debt transactions, collect and update contract documents and other materials for the sale of homes, and assist with HOA operation and documentation.

Primary Duties & Responsibilities

  • Assist with compiling complete documentation regarding the company's real estate acquisitions and dispositions including fully executed contracts, amendments, closing documentation, CCRs, etc.
  • Manage documentation of secured debt obligations. Ensure that mortgages, spreader agreements and partial releases are timely created and filed. Interact with treasury and accounting functions to ensure compliance with secured debt obligations.
  • Assist divisions with obtaining and maintaining plats, HOA governing documents, timely conveyance of common area, and the assembly of necessary documentation for transition to homeowner control of the property owners association.
  • Provide general support to the transactional; Assistant General Counsels
  • Research public records and consult with Divisions to determine ownership and status of property in response to tax sale notices, requests for correction deeds, property to be turned over to homeowners associations, etc., and prepare quit claim deeds and other relevant instruments.
  • Review surveys and final plats, confirm accuracy of and draft legal descriptions
  • Prepare officer's certificates from templates, compile attachments and obtain signatures from senior officers, and submit as part of the process to obtain joinder and consent by lenders while remaining cognizant of timing to record related survey, covenants, and easements, for development of property.
  • Process orders for flood certifications, maintain tracker of requests, reviewing certifications for accuracy; following up when orders are not filled timely and requesting corrections when necessary.
  • Review requests for changes to home purchase and sale agreement documents and revise as necessary. Review contract documents, disclosures and information maintained in BOSS for Legal Approval function.
  • Maintain electronic filing system
  • Field questions from Division personnel
  • Communicate directly with municipalities, outside counsel, Division personnel, Corporate officers, and other departments throughout the company
  • Reviews all license applications and renewals, and all other applications filed with state agencies for accuracy of corporate information. Works with local counsel and the divisions to resolve licensing issues, including creating new entities when needed.
  • Coordinates requests for legal review of contracts submitted to the legal department; maintains the Contract Tracker Database by making changes to the database structure and entering information on existing and new contracts; monitors compliance with the Contract Review & Signature Authority Policy; maintains paper and electronic records of contracts executed by the Company; assists in review of contract terms and monitors review requests assigned to outside counsel.
  • Miscellaneous projects as requested
Skills & Abilities

  • Bachelor's degree or Associate's degree and a Paralegal Certificate from an ABA accredited school
  • 4 - 5 years of experience in a law firm or corporate legal department
  • Notary Public, State of Georgia (preferred but not necessary)
  • Possess a positive attitude, team spirit, willingness to work on all duties as assigned, desire for continuous learning, ability to multi-task, strong organizational skills and sense of responsibility and self-motivation.
  • Self-starter, must possess excellent organizational skills and be detail oriented
  • Ability to effectively communicate with senior management and individuals throughout the Company
  • Ability to manage and interact with outside vendors, such as law firms and third party providers
  • Excellent writing and communication skills
  • Excellent computer skills, including word processing, spreadsheets and database management, including use of Microsoft Office, Serengeti, Salesforce, Internet and Intranets, and SharePoint applications
  • Must be able to conduct legal research utilizing the Web or other legal research software
  • Willingness to travel 25% of the time
